– You shall not decompile, reverse engineer, source Prayatna Counselling and Early Intervention’s code or disassemble the content.
– You agree that you shall pay all applicable fees on time. In case of late payment, Prayatna Counselling and Early Intervention reserves the right to levy a charge/interest on the outstanding amount.
– You agree to not collect contact details or any other personal information, or contact Your Therapist outside of The Prayatna Counselling and Early Intervention’s platform.
– You can cancel or reschedule a scheduled session (in case of an emergency) any time before 24 hours to the start of the scheduled session. No cancellation or rescheduling will be allowed 24 hours or after a session begins. In case of cancellation, your money will stay as a credit amount with Prayatna Counselling and Early Intervention for the session whenever you book next.
– You agree that You are using the Services in your best judgment, and Prayatna Counselling and Early Intervention will not make any representation or warranty as to:
(a) Prayatna Counselling and Early Intervention assures the accuracy of the content, however in case of anything that goes unnoticed, Prayatna Counselling and Early Intervention doesn’t take responsibility or availability of the Prayatna Counselling and Early Intervention Website,
(b) the willingness or ability of the Prayatna Counselling and Early Intervention ‘s therapist to listen,
(c) the willingness or ability of any of the Prayatna Counselling and Early Intervention ‘s Therapist to give advice,
(d) whether You or anyone else shall find the Prayatna Counselling and Early Intervention Website’s Service helpful, useful or satisfactory,

– You understand and agree that, although the Therapist may have been accessed through Prayatna Counselling and Early Intervention ‘s website, Prayatna Counselling and Early Intervention ‘s Admin cannot predict or assess the competence of, or appropriateness for Your needs, of Prayatna Counselling and Early Intervention ‘s Therapist. You also acknowledge and agree that You take full responsibility for the decision to access the Therapist;
– Prayatna Counselling and Early Intervention ‘s Admin reserves the right to modify or discontinue, temporarily or permanently, any Service in or on Prayatna Counselling and Early Intervention ‘s website, with or without notice to User. For the purposes of this Agreement, Intellectual Property / Right to Privacy means, including but not limited to all patent rights, copyright rights, mask work rights, moral rights, rights of publicity, trademark, trade dress and service mark rights, goodwill, trade secret rights, and other intellectual property rights as may now exist or hereafter come into existence, and all applications therefore and registrations, renewals, and extensions thereof, under the laws of any state, country, territory or other jurisdiction.
Other than the User content, anything posted on the website not limiting to, graphics, illustrations, software, custom algorithms, music, text, audio, video, audio-visual, image, logo, hex code of the logo and website, and any informative material on the website, is solely Prayatna Counselling and Early Intervention ‘s Intellectual Property.
In connection with your User Content, you affirm, represent, and warrant the following:

Termination

Dispute Resolution
In the event of any dispute, controversy, or claim arising out of or relating to this Agreement or any subsequent amendments to this Agreement including, without limitation, the breach of the terms hereunder, termination, validity or invalidity thereof, or any non-contractual issues relating to this Agreement (each, a “Dispute”), each of the Parties will makes it compulsory to appoint a designated officer to meet to endeavours to resolve such Dispute amicably or to negotiate for an adjustment to such provision.
All Disputes, which are not settled according to the issue resolution procedures set forth, will be referred and settled by final and binding arbitration by a sole arbitrator mutually appointed by the Parties in accordance with the Indian Arbitration and Conciliation Act, 1996 as amended from time to time, and the seat of arbitration shall be at Ahmedabad Governing in accordance with law.
This Agreement shall be governed by the laws of India, and subject to the above-mentioned seat, the courts of Ahmedabad shall have exclusive jurisdiction with respect to any dispute arising hereunder
Governing Law
You agree that:
(i) the Service shall be deemed solely based in Ahmedabad (Gujarat, India); and
(ii) the Service shall be deemed a passive one that does not give rise to personal jurisdiction over Prayatna Counselling and Early Intervention, either specific or general, in jurisdictions other than Ahmedabad, Gujarat, India. This Agreement shall be governed by the internal substantive laws of India, without respect to its conflict of laws principles. You agree to submit to the personal jurisdiction of the courts located in Ahmedabad, Gujarat for any actions for which we retain the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of Our privacy rights, copyrights, trademarks, trade secrets, patents, or other intellectual property or proprietary rights.
Entire Agreement/Severability.
This Agreement and Terms and Condition, together with any amendments, policies, and any additional agreements You may enter into with Prayatna Counselling and Early Intervention in connection with the Service, shall constitute the entire agreement between You and Prayatna Counselling and Early Intervention concerning the Service. If any provision of this Agreement is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of this Agreement, which shall remain in full force and effect.
Force Majeure
(a) Prayatna Counselling and Early Intervention shall not be liable for any delays or failures in its performance hereunder resulting from circumstances or causes beyond its reasonable control, including, without limitation, force majeure acts of God, acts or threatened acts of terrorism, war or other violence, or any law, order or requirement of any governmental agency or authority, cyberattacks, or any unforeseen breach or failure of Prayatna Counselling and Early Intervention’s computer systems or networks.
(b) In the event of such delay or failure, Prayatna Counselling and Early Intervention does not have any duty to perform related responsibilities, and also has the right to cease providing the Services, suspend access to the website or carry out any other action as may be required, as may be determined by it in its sole discretion.
No Waiver.
No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term, and Prayatna Counselling and Early Intervention’s failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision.
Indemnity

You agree to defend, indemnify and hold harmless Prayatna Counselling and Early Intervention and its subsidiaries, agents, licensors, managers, and other affiliated companies, and their contractors, agents, Psychologist, Clinical Psychologist, Counselling Psychologist, Occupational Therapist, Special Educater, Remedial Therapist, Speech Therapist and The Associates of Prayatna from and against any and all claims, damages, injury, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising from:
(i) Your use of and access to the Service, including any data or content transmitted or received by You;
(ii) Your violation of any term of this Agreement, including without limitation Your breach of any of the representations and warranties;
(iii) Your violation of any third-party right, including without limitation any right of privacy or Intellectual Property Rights;
(iv) Your violation of any applicable law, rule, or regulation;
(v) any claim, or damages that arise as a result of any of Your User Content or any that is submitted via Your account; or
(vi) any other party’s access and use of the Service with Your unique username, PIN, password, or other appropriate security code.
No Warranty
The service is provided on an “as is” and “as available” basis. The use of the service is at your own risk. To the maximum extent permitted by applicable law, the service provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness from a particular, or non-infringement. No advice or information, whether oral or written, obtained by you from Prayatna Counselling and Early Intervention or through the service will create any warranty not expressly stated herein. Without limiting the foregoing, Prayatna Counselling and Early Intervention, its subsidiaries, its affiliates, and its licensor do not warrant

(iii) that the service will be available at any particular time or location, uninterrupted or secure;
(iv) that any defects or errors will be corrected; or

Limitation of Liability

For the paid subscription to Prayatna Counselling and Early Intervention ‘s services (also, provided by the therapist), the aggregate liability of Prayatna Counselling and Early Intervention shall be limited to for the period of 6 months.
